This
agreement is entered into this ______day of ___________, 2010 by THE
SOUTHERN BELLE INVITATION, LLC hereinafter referred to as show management
and _________________________, hereinafter referred to as Stallion
Owner/Breeder, and owner of Stallion ____________________________, with
Registration # __________________for the 2011 Southern Belle Invitation
Breeder’s Program.This stallion is
registered with the following organizations: ______,_______,______,______.
Stallion
Owner/Breeder states above referenced stallion will stand for an advertised Breeding
fee or Private Treaty of $ ______________.
Breeder’s
signature/designated agent’s signature, on this contract obligates Breeder to
allow The Southern Belle Invitation to sell one breeding to the above
registered Stallion for the 2011 breeding season. The Southern Belle Invitation
will begin advertising
the
Stallion in 2010 and attempt to sell the 2011 breeding no later than July 1, 2011.
Stallion
Owner/Breeder agrees that in the event this donated breeding has not sold for ½
the advertised breeding fee or private treaty plus $100 office fee by July 1,
2011, that Stallion Owner/Breeder will pay up the Stallion by tendering to The
Southern Belle Invitation monies for ½ the advertised breeding fee plus $100
office fee.
The
Southern Belle Invitation will not accept breeding fees or private treaties
under $500. In the event that an invitation is extended to a stallion with an
advertised breeding fee of $500 or a private treaty of $500 or less, the
Southern Belle Invitation price for that stallion will be no less than $500
plus $100 office fee.
Stallion
Owner/Breeder/recognized agent by signing this document does not forfeit any
rights to collect from mare owner fees that may be attributed to services for
mare care, chute fee, artificial insemination fees, office and or shipping
fees, etc., that the Breeder would normally charge individuals using the
Stallions service. The Stallion
Owner/Breeder
declares at this time that other applicable charges may include but not be
limited to (and are subject to change at the Breeder’s discretion):
Stallion
Owner/Breeder understands that by signing and thereby donating this breeding to
be sold by The Southern Belle Invitation for the 2011 season, the offspring of
the above referenced Stallion will be eligible for Breeder’s Classes to be held
at The 2011 Southern Belle Invitation Horse Show. Failure of the Stallion
Owner/Breeder/Recognized Agent to pay up his/her Stallion by July 1, 2011 will
result in the Stallion Owner/Breeder being excluded from the 2011 Breeder’s Classes
and will not be allowed to be reinstated in future Southern Belle Invitation
Breeder’s Programs until past years stallion fees are paid in full.Stallion Owner/Breeder understands that once
the donated breeding sells for ½ the advertised breeding fee plus $100 by July
1, 2011 or is paid up by the Stallion Owner/Breeder for ½ the breeding fee plus
$100 office fee that the Stallion Owner/Breeder will receive one free entry
into a 2010 Southern Belle Invitation Breeder’s Class at the Tunica Show not to exceed $350.00. Stallion Owner/Breeder,
will receive 20% of the Breeder’s Purse for all Breeders’ Classes for first
through 6th place. A Breeder who fails to pay up his/her stallion
fee and the Breeding falls into the “Grace Period” and the breeding is subsequently
paid by a exhibitor during the Grace Period, thereby forfeits his/her share to
the 20% Breeder’s winnings.
Entire Agreement:
This
document constitutes the entire agreement and any legal proceedings will be
held in Arkansas
where The Southern Belle is incorporated.The Southern Belle Invitation reserves the right to make amendments,
additions and/or changes as is indicated to comply with legal requirements
recommended by counsel and for the purpose of improving and enhancing the
breeder’s program.
Definitions:
Stallion
Owner/Breeder: the legal owner as recognized by the approved
association and as listed for all tax purpose and thereby the appropriate
individual to enter into the agreement with The Southern Belle Invitation.
Registered
or Recognized Agent:This would
be the individual that the stallion owner has appointed to enter into
contractual arrangements on his or her part and will require proof by way of a
legal document to The Southern Belle Invitation.Should you have questions please feel free to
contact us regarding this issue.
Show
Management: The legal owner of The Southern Belle Invitation is Connie
H Hill and thereby the appropriate individual to offer and enter into this
document with Stallion Owner/Breeder.The Southern Belle Inv, LLC is an Arkansas LLC. Management may choose
which stallions to offer this contract to and as such seeks only the highest
quality stallions in the industry and has the sole right to exclude the offer.
Advertised
Breeding Fee: The fee which the Stallion Owner/Breeder advertises to
the public and is an amount that the Stallion Owner/Breeder expects to collect
in U. S. dollars for the Stallion’s service. This fee is not inclusive of chute
fees, office fees, insemination fees, mare care etc., which the Stallion
Owner/Breeder may
charge
to all mare owners. Owners are encouraged to state these additional fees so
that the mare owner may have complete knowledge.
Donated
Breeding: Refers to the stallion’s advertised breeding fee, which the
Stallion Owner/Breeder agrees to allow The Southern Belle Invitation to collect
one such fee at ½ the advertised fee plus $100 and for such monies to be paid
directly to The Southern Belle Invitation. In the event that an advertised
breeding fee or private treaty is $500 or less, The Southern Belle Invitation
will sell the breeding at $500 plus $100 office fee.
Pay
Up of Breeding Fee: Stallion owner agrees that if the donated breeding
is not purchased by a mare owner by July 1, 2011, Stallion Owner/Breeder will
pay to The Southern Belle Invitation ½ the advertised breeding fee plus $100
office fee by July 1, 2011. In the event that the advertised breeding fee or
private treaty is $500
or
less, the Stallion Owner/Breeder will pay to The Southern Belle Invitation $500
plus $100 office fee.
A
Grace Period will be given from July 2nd to July 10th 2011
and during that time management will make one last effort to contact Breeder’s
considering the stallion’s breeding payment due.Payment during the Grace Period will not
result in a free entry into a Breeder’s Class and will require that the full
Advertised Breeding Fee be paid.Should show management receive a call from an exhibitor during this same
grace period and request to “pay up” the stallion, he or she will allowed to do
so and again there will be no free entry as a result of this pay up and the
Advertised Breeding Fee will be required in full and any earnings that would
have gone to the Breeder would be forfeited.No payments for stallion breeding will be accepted after the
grace period and none will be taken at the futurity.
Grace
Period:July 2nd to July 10th-
payments by Breeder’s during this time require the full-advertised fee and do
not result in free Breeder’s Class entries or 20% earnings.If the stallion breeding is paid by an
exhibitor during the Grace Period, it will not result in a free Breeder’s entry
and it will not result in 20% earnings to the Breeder in the event that the
specified stallion’s offspring should place in a Breeder’s Class from 1st-6th
place.
No
pay up of stallion services will be taken at the show.
Breeder’s
Purse: All entry fees from Breeder’s Class will be collected and paid
out to exhibitors entered in The Southern Belle Invitation Breeder’s Classes at
100%.The Stallion Owner/Breeder will be
entitled to receive 20% of winnings from all Breeders’ Classes for places 1st-6thand/or 10% of winnings on the Premier
Breeder’s Classes.
Free
Entry: Upon sale of the stallion’s 2011 breeding, Stallion
Owner/Breeder will be entitled to one free entry at the Tunica Show only not to exceed $350.00 for a horse and
exhibitor to show/exhibit in one of The Southern Belle Invitation 2011
Breeder’s Class.This entry credit may only be used at the Tunica Show and are year
specific.If the Breeder’s Class runs concurrently with
another NSBA or Non-NSBA class, the Stallion Owner/Breeder or individual to
whom the Stallion Owner/Breeder has presented the free entry certificate will
still be subject to entry fees for the classes within which the Breeders Class
concurrently runs, if that exhibitor chooses to be placed and considered for
winnings in that concurrent class.There
can be no demand upon the exhibitor/owner to enter both portions of a
concurrent class unless it is required by the sanctioning organization.The free entry may not be used for any Premier Breeder Class if one exists.
Exclusion
from Breeder’s Program: Failure of the Stallion Owner/Breeder to pay
½-breeding fee for each participating year when the donated breeding fails to sell
by July 1 in a given year, or to pay the full-advertised fee during the Grace
Period, will result in exclusion from the program.If exclusion occurs, the Stallion
Owner/Breeder will be required to pay up each year beginning with the date the
exclusion occurred up through date in which stallion re-enters the
program.Dates of exclusion will require
that the full advertised Breeding Fee be paid up through the current year which
then will be ½ the advertised fee plus $100 office fee.
Logo:The Breeder is asked to display The Southern
Belle Breeder’s Logo on all advertisements to indicate to exhibitors and
potential purchasers that your stallion’s offspring are eligible for Breeder’s
winnings through The Southern Belle Invitation.The logo can be provided to you by visiting our website, www.tsbelle.com.
